BYLAWS
ARTICLE I: Name
The name of this organization is the Waterford Wolverine Football Parents Association (WWFPA). It is a local organized association of Waterford Union High School (WUHS) parents/guardians, alumni and coaching staff.
ARTICLE II: Purposes
Section 1. The Objectives of the Waterford Wolverine Football Parents Association are:
To promote the welfare of students in school and community,
To foster student participation in high school sports,
To cultivate ideals of citizenship and sportsmanship,
To recognize achievements of individual athletes and athletic teams,
To engage the support of the community of Waterford,
To maintain a relationship administration and parents/guardians of WUHS,
To secure supplementary financial support for the high school football program.
The objectives of the WWFPA are achieved by volunteer opportunities, and fundraising activities. Volunteer and fundraising activities aredeveloped through committees; and governed and qualified by the basic policies set in Article III.
The organization is organized exclusively for the charitable, scientific, literary or educational purposes within the meaning of Section 501 (c)(3) of the Internal Revenue Code or corresponding section of any future federal tax code (hereinafter "Internal Revenue Code").
ARTICLE III: Basic Policies
Section 1. The following are basic policies of the WWFPA:
The organization shall be noncommercial, nonsectarian, and nonpartisan.
The organization shall recognize that the legal responsibility to make decisions regarding school policy has been delegated by the people to boards of education, state education authorities, and local education authorities.
The organization shall work to promote the health and welfare of students and shall seek to promote collaboration between parents/guardians, school administration, and the community at large.
No part of the net earnings of WWFPA shall benefit or be distributable to its members, committee chairs, board members, officers, or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions for purposes set forth in Article II.
Notwithstanding any other provisions of these articles, the organization shall not carry on any other activities not permitted to be carried on (i) by an organization exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code or (ii) by an organization, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code.
Upon the dissolution of this organization, after paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to one or more nonprofit funds, foundations, or organizations that have established their tax-exempt status under Section 501(c)(3) of the Internal Revenue Code and whose purposes are in accordance with those of the Wisconsin Interscholastic Athletic Association.
The organization or members in their official capacities shall not, directly or indirectly, participate or intervene (in any way, including the publishing or distributing of statements) in any political campaign on behalf of, or in opposition to, any candidate for public office; or devote more than an insubstantial part of its activities to attempting to influence legislation by propaganda or otherwise.
ARTICLE IV: Constituent Organization and Membership
These articles of organization include (1) these bylaws of such organization and (2) the certificate of incorporation or articles of incorporation of such organization.
The bylaws and basic policies of WWFPA shall not conflict with WUHS Co-Curricular Code of Conduct.
Membership in WWFPA shall be made available without regard to race, color, creed or national origin.
WWFPA will conduct an annual membership drive but may admit members at any time.
WWFPA dues shall be one 1 dollar per annum. Additional incentive membership packages can be sold as part of fundraising as set forth in Article IX and XI.
The membership year shall start January 1 and end December 31.
Members must be in good standing and be current on paid dues to participate in the business of WWFPA.
WWFPA shall keep permanent books of account and records as shall be sufficient to establish the items of gross income, receipts and disbursements of the organization, including the number of its members and the dues collected from its members.
These bylaws are reviewed by committee with approval of amendments.
ARTICLE V: Officers and Their Election
Officers and their election:
The officers of this organization shall consist of a president, two vice-presidents, a secretary, a treasurer and 2 at Large Members.
Officers shall be elected by ballot in the month of December. However, if there is but one nominee for any office, election for that office may be by voice vote at the December meeting.
Officers shall assume their official duties following the close of the December meeting. Officers shall serve for a term of 1 year or until their successors are elected.
A person shall not be eligible to serve more than three consecutive terms in the same office.
Section 2. Vacancies:
A vacancy occurring in any office except the office of the president shall be filled for the unexpired term by a person elected by a majority vote of the association at a general meeting, notice of such election having been given 10 days prior or at the prior meeting.
In case a vacancy occurs in the office of president, the vice-president of community shall assume the office of presidency immediately and for the remainder of the term.
ARTICLE VI: Duties of Officers
The President shall:
preside at a minimum ¾ of the meetings of the association and a minimum ¾ meetings of the officers
be a member ex-officio of all committees
coordinate the work of the officers and committees of the association
present a report of business conducted by the officers at regular meetings of the association
motion a list of standing committees at the February meeting and categorize such committees as either community or fundraising
not chair committees, can co-chair committees
The Vice President of Community shall:
attend a minimum ¾ of the general meetings of the association and a minimum ¾ meetings of the officers
perform the duties of the president at meetings of the association and meetings of the officers in the absence or inability of the President to serve at such meetings
in the event there is a vacancy in the office of President, the Vice President of Community will assume the duty of President for the remainder of the unexpired term
be a member ex-officio of all community committees as defined by the President.
oversee and coordinate the work of community committee chairs in order that the plan of work of such committees may be completed
perform other duties as may be prescribed in these bylaws or assigned by the President, or the association.
Manage all social media and website communications.
The Vice President of Fundraising shall:
attend a minimum ¾ of the meetings of the association and a minimum ¾ meetings of the officers
be a member ex-officio of all fundraising committees as defined by the President.
oversee and coordinate the work of the chairs of fundraising committees of the association in order that the plan of work of such committees may be completed.
shall ensure proper monetary transactions with oversight
perform other duties as may be prescribed in these bylaws or assigned by the President, or the association.
The Secretary shall:
attend a minimum ¾ of the meetings of the association and a minimum ¾ meetings of the officers
record the minutes of all meetings of the association.
supply a copy of the minutes of all meetings of the association to the President and post on website for public access.
have a current copy of the bylaws
maintain a membership list
maintain a standing committee list
perform other duties as may be prescribed by these bylaws or assigned by the President, or association.
The Treasurer shall:
attend a minimum ¾ of the meetings of the association and a minimum ¾ meetings of the officers
have custody of all the funds of the association,
keep a full and accurate account of receipts and expenditures,
make the disbursements as authorized by the president, or association in accordance with the budget adopted by the association,
write checks signed by either the president or vice president of fundraising.
be responsible for the maintenance of such books of account and records.
have the accounts examined annually at the end of each fiscal year and at any time during the year when there is a change to the signature card by an auditor or an auditing committee of not fewer than three members, who, satisfied that the treasurer's annual report is correct, shall sign a statement of that fact at the end of the report.
submit the books annually for an audit to an accountant for tax/501c3 filings.
serve as a member of the budget committee
perform other duties as may be prescribed by these bylaws or assigned by the President, or association.
(2) Member at Large shall:
attend a minimum ¾ of the meetings of the association and a minimum ¾ meetings of the officers
Chair at least 1 committee
perform duties as may be prescribed by these bylaws or assigned by the President, or association.
All officers shall perform the duties outlined in these bylaws and those assigned from time to time. Upon the expiration of the term of office or in case of resignation, each officer shall turn over to the president, without delay, all records, books, and other materials pertaining to the office, and shall return to the treasurer, without delay, all funds pertaining to the office.
ARTICLE VII: Meetings of the Association and Officer
Regular meetings of the association shall be held during the year. Time and date(s) to be set by the Officers at the first meeting of the year. The Officers can change the date and time of an association meeting with 5 days’ notice having been given and can change the location within 1 days’ notice having been given.
Special meetings of the association may be called by the president with 5 days’ notice having been given to the association
Regular meetings of the officers can be held during the year. Time and dates(s) to be set by the President with 5 days’ notice having been given. Business conducted must be reported back to the association at the next regular meeting of the association. Officer meetings are not meant to replace the regular meetings of the association.
Seven members shall constitute a quorum for the transaction of business in any meeting of this association and five officers shall constitute a quorum for the transaction of business in any meeting of the Officers.
Members must attend a minimum 2 meetings before gaining voting rights at the third meeting attended.
ARTICLE VIII: Committees
Only members of WWFPA shall be eligible to serve in any elective or appointed chair positions.
The association or President may create such standing committees, as it may deem necessary to promote the Objectives and carry on the work of the WWFPA. The term of each chair shall be one year or until the selection of a successor. The chairs of the standing committees shall be selected by the President of the association.
The budget committee must have at least 5 members. The budget must be presented at the March association meeting. The budget must be voted upon and approved prior to funds being dispersed. Subsequent revisions to the budget require association vote.
The chair of each standing committee shall present a plan of work to the officers for approval including a budget. No committee work outside of the approved plan of work shall be undertaken without the consent of the officers.
The power to form special committees and appoint or elect their members and chair rests with the association or the officers. The term of chair shall be until the approved plan of work is completed or until the selection of a successor. Special committees shall submit their plan of work for approval to the association or officers. No committee work outside of the approved plan of work shall be undertaken without the consent of the committee.
Chairs of standing and special committees can appoint co-chair(s). The term of co-chair shall be until the chair selects a successor.
The president shall be a member ex-officio of all committees. The vice president of fundraising shall be a member ex-officio of all fundraising committees. The Vice President of Community shall be a member ex-officio of all committees. The treasurer shall be a member ex-officio of the budget committee.
The president shall determine when committees are categorized as fundraising or community in nature.
All fundraising of the WWFPA must be coordinated by committee with a plan of work and appointed chair with oversight by the Vice President of Fundraising.
ARTICLE IX: Fiscal Year
The fiscal year of WWFPA shall begin on January 1 and end on December 31.
ARTICLE XI: Fundraising
All fundraising of the WWFPA shall be in accordance with the Wisconsin Interscholastic Athletic Association criteria and limitations so as not to jeopardize athletic participation of individual athletes or athletic teams.
All fundraising of the WWFPA shall be approved by the elected officers and committee chair.
Fundraising activities for the general budget of the WWFPA shall be limited and agreed upon by the committee and such activities shall be committee organized.
Fundraising activities of the WWFPA shall have monetary oversight of the Vice President of Fundraising.
ARTICLE XII: Amendments
Section 1. These bylaws may be amended at any regular meeting of the association by a two-thirds vote of the members present and voting, provided notice of the amendment has been given at the previous regular meeting or least 15 days prior to the meeting at which the amendment is voted upon. A committee may be appointed to submit a revised set of bylaws as a substitute for the existing bylaws by a majority vote at a meeting of the association, or by a two-thirds vote of the officers. The requirements for adoption of a revised set of bylaws shall be the same as in the case of an amendment.
ARTICLE XIII: Parliamentary Authority
The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern WWFPA and its committees in all cases in which they are applicable and in which they are not in conflict with these bylaws or the articles of incorporation.
The President shall appoint a parliamentarian for their term of office. In the event of a vacancy in the position of parliamentarian, the President can appoint a new parliamentarian. The parliamentarian is an appointed position on the Board that holds no voting rights at meetings of the association or officers. The parliamentarian shall:
Attend meetings of the association and when invited, meetings of the Officers
Provide counsel when requested regarding the bylaws and rules
Call upon the Officers when the bylaws and rules of the WWFPA are not followed
Remain neutral and forthcoming when making determinations regarding the bylaws and rules of the WWFPA
